Head of Due Diligence

Our US-based client is seeking an experienced, hands-on Head of Due Diligence to join their dynamic team remotely.

Responsibilities

  • Lead the end-to-end buy-side due diligence process, effectively managing timelines, workstreams, external advisors, and key decision deadlines.
  • Coordinate comprehensive technical, environmental, regulatory, legal, commercial, tax, HR, and IT due diligence workstreams.
  • Lead financial due diligence, including deep analysis of quality of earnings, working capital, net debt, capex, and normalized EBITDA.
  • Build and maintain complex transaction valuation models covering DCF, EV/EBITDA, NAV, and comparable transactions.
  • Integrate operational and technical assumptions—such as production, operating costs, reserves/resources, and capex—directly into financial models.
  • Identify and escalate key risks, red flags, and valuation impacts, translating complex findings into clear, actionable investment recommendations.
  • Prepare high-quality materials for the Investment Committee, Board of Directors, lenders, and co-investors.
  • Collaborate closely with legal counsel on transaction documents, representations, warranties, indemnities, and conditions precedent.
  • Manage the transaction process seamlessly from signing through to completion, including data room oversight and stakeholder coordination.

Requirements

  • Extensive experience in Big 4 Transaction Services/M&A, investment banking, corporate finance, or investment advisory.
  • Proven track record of managing buy-side or sell-side transactions from initial due diligence through successful completion.
  • Strong, hands-on financial modeling and valuation expertise, including DCF and comparable company/transaction analysis.
  • Solid understanding of mining-specific due diligence, including reserves and resources, life-of-mine planning, capex, permitting, and ESG considerations.
  • Demonstrated experience coordinating multidisciplinary transaction advisors (technical, legal, environmental, tax, and more).
  • Professional qualification such as CA, ACA, ACCA, CIMA, CFA, or an equivalent designation.
  • Exceptional communication skills, with the ability to work autonomously and engage confidently with senior stakeholders.
  • Relevant background in mining, engineering, or geoscience is highly advantageous.
